Articles In Common LLC | Version WU-2026-10-19-r5
This agreement is between Articles In Common LLC (AIC, we, us) and the WildUP™ member identified in the membership order (you). It governs your membership and new gear accepted for resale under it. You must be at least 18 and have authority to enter this agreement. Business inventory and WildUP+ services require separate terms.
Membership costs $96 for 12 months from payment confirmation, plus any applicable tax shown at checkout. The advertised $8 per month is the annual price divided by 12, not a monthly payment option. Membership does not automatically renew.
AIC handles the review, photography, pricing, listings, promotion, buyer communication, sale and fulfillment of accepted gear. Membership does not guarantee acceptance of an item, a sale, a selling price or a sale date. Inbound shipping and other separately approved services are not included in the membership fee.
This agreement covers subsequent approved drops during your membership. You do not need another membership application or a new consignment agreement for each drop. Item records and agreed exceptions may be confirmed by email.
AIC will contact you within two business days after purchase to review your proposed gear and arrange your first drop. Do not send gear until AIC has approved the proposed items and provided shipping or handoff instructions. Preliminary approval is based on your description and any requested photos; final acceptance follows inspection.
If AIC cannot approve any of your proposed gear, AIC will refund the membership fee and any tax charged on that fee before your first drop. You may also cancel by emailing shop@articlesincommon.com before your first drop for the same full membership refund. Your first drop occurs when you hand approved gear to the carrier, deliver it to AIC or hand it over at an agreed pickup.
After your first drop, the membership fee is not refundable merely because you change your mind or an item does not sell. AIC will initiate a membership refund within five business days after confirming eligibility, to the original payment method where possible. Bank processing may take longer.
Approved carrier charges already incurred are non-refundable. Unused labels will be submitted for cancellation where the carrier permits it, and any postage refund received will be returned to you. These terms do not limit refunds or other remedies required by law or arising from AIC’s failure to perform this agreement.
You must own the gear or be authorized to sell it, free of any lien or claim that prevents the sale. You are responsible for checking sponsorship, pro-deal, employer, sample and brand restrictions before submission. Disclose known defects, damage, alterations, missing parts, recalls and resale restrictions. Do not submit counterfeit, stolen, recalled or unsafe items.
AIC may decline unsuitable items and may stop a listing if a safety, authenticity or ownership concern arises. AIC’s inspection is for resale assessment; it is not a certification that equipment is safe for use. Nothing in this agreement permits an unlawful sale or removes duties imposed by law.
After inspection, AIC will provide an itemized intake record identifying accepted and rejected items and noting material condition issues and any agreed exceptions. Tell AIC promptly if the record is incorrect. Silence does not authorize a change to your payout rate, an extra charge or donation of your gear.
You retain ownership of consigned gear until it is sold to a buyer, subject to applicable law. AIC has the exclusive right to offer accepted items for sale while they are on consignment. Do not offer or sell the same items elsewhere during that period. AIC will keep records identifying your items and related sales.
You authorize AIC to choose appropriate sales channels, set prices, run promotions and make commercially reasonable markdowns based on condition, demand and comparable sales. AIC does not need separate approval for each listing or price change. Any minimum price or other restriction must be accepted by AIC in writing before listing; AIC may decline an item if the restriction is unsuitable. AIC may not sell below an agreed minimum without your further written approval.
AIC will not buy your gear for itself, or transfer it to an owner, employee or affiliate, without your prior approval of the price and terms. Donation, disposal and materially altering or repairing an item require separate permission, except action required by law.
You receive 65% of the final item selling price actually collected, after item-price discounts and refunds. Sales tax, separately charged buyer shipping and other buyer fees are excluded. AIC retains 35% and covers its ordinary resale and payment-processing costs from that share. AIC will not deduct inbound postage, listing fees or payment-processing fees from your 65%. For example, an item sold for $100 after discounts produces a $65 seller share, excluding tax and buyer shipping.
Payouts are issued on the 15th of each month, or the next business day, for sales that became eligible by the end of the previous calendar month. A sale becomes eligible after buyer funds have settled, the applicable return period has ended and any timely return or payment dispute has been resolved. AIC will identify any held sale and explain the reason; unrelated eligible sales will still be paid.
Each payout includes an itemized statement. Provide accurate payout details and any identity or tax information legally required to pay you. AIC will request sensitive information through an appropriate secure channel. Missing required details may delay your payout; they do not forfeit your earnings. You are responsible for taxes on your income; AIC will make disclosures or withholding required by law.
AIC handles buyer returns under the policy disclosed for the sale and applicable law. A refunded, returned or reversed item does not generate a seller share for the refunded amount. AIC will document adjustments. If you have already been paid, AIC may recover no more than the seller share attributable to that reversed amount, without charging you its commission or ordinary processing costs. AIC will notify you before offsetting an undisputed adjustment against future payouts. Disputed adjustments will be addressed under Section 11; unrelated earnings will not be withheld. AIC may not shift a loss caused by its own breach or negligence to you. A return that restores ownership of an item to you will be recorded and handled under this agreement.
Inbound shipping is paid separately at actual carrier cost with no AIC markup. AIC will quote the cost and collect your approval and payment before issuing a label or QR code. Oversized gear, multiple boxes and pickup require a separate quote. You may arrange your own tracked shipping with AIC’s approval. Pack securely, follow the instructions and retain tracking and handoff evidence.
No optional repair, cleaning, storage or other service fee may be added without your prior agreement to the charge. Any carrier adjustment based on parcel size or weight must be documented and resolved with you separately, not silently deducted from seller earnings.
You are responsible for arranging and paying for insurance coverage for gear shipped to AIC. Confirm your coverage and any additional cost before shipment, including when AIC provides the label. Coverage is subject to the insurer’s or carrier’s terms, limits and exclusions; AIC does not guarantee full coverage.
AIC is not responsible for gear or packages lost, missing or damaged during inbound transit, including packages that arrive damaged, except to the extent caused by AIC’s negligence, willful misconduct or breach of this agreement, or where liability cannot lawfully be excluded. AIC will assist with a carrier claim when it purchased the label; you lead claims for labels you purchased.
For rejected or withdrawn gear, AIC will confirm return or pickup arrangements and the cost before shipment. You pay agreed return shipping for gear you withdraw or that is rejected because it materially differs from your description. AIC pays return shipping when it rejects preliminarily approved gear that matches your accurate description solely because AIC changes its acceptance decision. Donation requires your express consent. AIC will not treat silence as abandonment or charge unagreed storage fees; unresolved unclaimed property will be handled under applicable law.
AIC will use reasonable care to safeguard gear in its custody, maintain intake and disposition records, and promptly notify you of known loss or material damage. AIC is responsible for loss or damage to the extent caused by its negligence, willful misconduct or breach of this agreement. Responsibility for other loss or damage is determined by applicable law.
AIC does not undertake to maintain insurance covering the replacement value of your gear or guarantee reimbursement of its original retail price. If a loss occurs, AIC and you will review the item record, condition, value and circumstances to resolve the claim. Nothing in this section excludes responsibility that cannot lawfully be excluded.
AIC will review unsold items approximately 90 days after their first listing and contact you about continued resale, return or donation. Ninety days is a review point, not a guaranteed sale deadline, automatic end date or permission to donate. Authorized listings may continue while arrangements are discussed.
Either party may end consignment on 30 days’ written notice. AIC will stop new sales by the effective termination date, subject to completing sales already made, processing buyer returns and settling payouts. AIC may pause new intake or a disputed listing immediately where reasonably necessary for safety, suspected fraud, ownership concerns or a material breach. A pause does not cancel your ownership or accrued earnings.
Membership expiry stops new intake unless you renew; it does not automatically remove accepted gear from sale, change your 65% share or require another membership payment to receive existing earnings. These terms continue for accepted items until they are sold, returned or otherwise disposed of with authorization. Return costs are governed by Section 6.
If AIC ends your membership early for reasons unrelated to your material breach, AIC will refund the unused portion of the annual fee based on the days remaining. If the full-refund provisions in Section 2 apply, the full refund takes priority. If you end consignment after your first drop, Section 2 governs membership refunds. Duties concerning gear, money owed, records and unresolved claims survive expiry or termination.
AIC may photograph and describe accepted gear and promote those listings. AIC will obtain your approval before publicly identifying you, publishing your personal story or using your name, likeness or supplied content in a member profile or marketing. You do not have to post publicly, promote your drop or endorse AIC to receive the agreed seller share.
AIC uses membership revenue to fund organizations working to save The Wild. This funding is separate from your 65% seller share and does not reduce your payout. This agreement does not promise a particular contribution amount or wildlife outcome. A separate donation of your gear or earnings requires your affirmative authorization.
By affirmatively checking the agreement box and completing the membership purchase, you accept this agreement and intend that action to serve as your electronic signature. AIC accepts by confirming the paid membership order. The agreement takes effect on that confirmation date and applies to new gear accepted under it. No separate handwritten signature is required.
You agree to receive this agreement, intake records, payout statements and service notices electronically at the email address associated with your membership. You need an email account and a device with internet access, a current web browser and the ability to view, save or print HTML and PDF records. Before payment, AIC will make this agreement available to read and retain. AIC will provide the accepted version with the membership confirmation or through a durable link that lets you save or print it.
Email shop@articlesincommon.com to update your contact details, request a paper copy at no charge or withdraw consent to future electronic delivery. Withdrawal does not undo existing acceptance or earnings. AIC will arrange an alternative for existing obligations; new online intake may pause until a workable delivery method is agreed. These permissions concern service records, not consent to marketing email or text messages.
Contact shop@articlesincommon.com with the relevant order or item details so AIC can investigate. The parties will try in good faith to resolve concerns directly. They may agree to voluntary mediation after a dispute arises. This agreement does not require binding arbitration or waive access to small claims or other courts with jurisdiction. Nothing here prevents urgent relief, a regulatory complaint, or filing a claim within the applicable deadline.
California law governs, subject to mandatory protections that apply in your jurisdiction. This agreement, the membership order disclosures and written item-specific exceptions accepted by both parties govern this WildUP membership. This agreement controls membership and consignment terms if a general website summary conflicts; mandatory legal rights still apply. An intake record alone cannot change the fee, seller share, refund rights or liability provisions.
Earlier signed consignment agreements remain in force for gear already accepted under them unless both parties expressly agree otherwise. AIC will identify which terms apply to each drop. A website update alone does not amend this agreement. Material changes require notice and both parties’ affirmative written or electronic agreement.
Neither party may assign this agreement without the other’s written consent. It binds permitted successors. If a provision is unenforceable, the remainder continues where lawful. Failure to enforce a provision once does not waive later enforcement. Nothing here excludes statutory warranties, remedies or liability that cannot lawfully be excluded.
Send notices to shop@articlesincommon.com. AIC will send notices to your membership email or an alternative delivery method agreed under Section 10. Keep your contact details current.
